These Terms and Conditions (the "Terms") are a legally binding agreement between you and NOORION GLOBAL INC, the owner and operator of FIND DRAGONFLY ("FIND DRAGONFLY," "NOORION," "we," "us," or "our"). These Terms govern your access to and use of https://findragonfly.com, including all related pages, accounts, profiles, listings, communications, advertising, payment features, and services (collectively, the "Services").
Please read these Terms carefully. By accessing or using the Services, creating an account, clicking a button or checking a box indicating acceptance, posting or responding to an opportunity, purchasing a listing or advertising service, or otherwise using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.
If you use the Services on behalf of a company or other organization, you represent that you have authority to bind that organization. In that case, "you" includes both you and the organization.

1. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use account-based features of the Services. You may not use the Services if you are prohibited from doing so under applicable law or if we previously suspended or terminated you for violating these Terms, unless we give written permission.

2. What FIND DRAGONFLY Does

FIND DRAGONFLY provides an online platform through which:

  • businesses may publish opportunities for sales representatives, independent sales professionals, dealers, distributors, or related business partners;

  • sales representatives, dealers, and other professionals may create profiles, search for opportunities, and contact businesses;

  • users may submit applications, inquiries, or messages; and

  • businesses or advertisers may purchase listings, featured placement, or advertising services.

FIND DRAGONFLY is a platform provider only. Unless we expressly state otherwise in writing, FIND DRAGONFLY is not:

  • an employer, staffing company, employment agency, recruiter, broker, franchisor, franchise broker, securities broker, or business-opportunity seller;

  • a party to any employment, independent-contractor, dealership, distribution, sales, commission, purchase, or other agreement between users;

  • responsible for supervising, directing, controlling, or paying any user; or

  • the agent, partner, joint venturer, fiduciary, or representative of any user.

We do not set or guarantee compensation, commissions, territories, working conditions, product quality, payment, performance, qualifications, licensing, or the legality of an opportunity. Any agreement or transaction between users is solely between those users.

3. Accounts and Registration

You agree to:

  • provide accurate, current, and complete information;

  • keep your account and profile information updated;

  • create only accounts and listings that you are authorized to create;

  • keep passwords, login links, and authentication credentials confidential;

  • promptly notify us of suspected unauthorized access or security incidents; and

  • accept responsibility for activity conducted through your account, except to the extent caused by our failure to use reasonable security measures.

You may not impersonate another person or business, create an account using information you do not have permission to use, transfer or sell an account without our written approval, or use another user's account without authorization.
We may request information to verify identity, business authority, licensing, or listing details. Verification is not guaranteed, and any verification badge or review does not constitute an endorsement, background check, warranty, or guarantee.

4. Business Listings and Sales Opportunities

Businesses and other users posting opportunities are solely responsible for their listings and must clearly and accurately disclose all material terms, including where applicable:

  • the legal or business name of the company offering the opportunity;

  • the products or services involved;

  • the nature of the role and whether it is employment, independent contracting, dealership, distribution, referral, or another arrangement;

  • whether compensation is commission-only, salary plus commission, wholesale margin, referral compensation, or another structure;

  • material commission conditions, chargebacks, quotas, expenses, required licenses, territory restrictions, and payment timing;

  • whether the opportunity is remote, local, regional, or territory-based;

  • any required purchases, inventory, training, fees, deposits, equipment, or other financial commitments; and

  • any material eligibility requirements.

Listings may not contain false, misleading, deceptive, incomplete, discriminatory, unlawful, or unsubstantiated statements. Earnings, income, sales, lifestyle, product-performance, and health-related claims must be truthful, lawful, and supported by reliable evidence when required.
Businesses must comply with all applicable employment, wage-and-hour, commission, independent-contractor, discrimination, licensing, franchise, business-opportunity, advertising, telemarketing, privacy, consumer-protection, and tax laws. Posting an opportunity on FIND DRAGONFLY does not make the opportunity legally compliant.
We may edit formatting, categorize, refuse, suspend, investigate, or remove any listing. Except for formatting and categorization, we are not obligated to review listings before publication.

5. Sales Representative and Dealer Profiles

Sales representatives, dealers, distributors, and other professionals are responsible for ensuring that their profiles, applications, resumes, credentials, experience, availability, territory, and other statements are accurate and not misleading.
You may not falsely claim licenses, experience, customers, sales results, affiliations, authorizations, or certifications. You must obtain any licenses, permits, insurance, or registrations required for the work you perform and must comply with tax, confidentiality, marketing, anti-bribery, and other applicable obligations.
Creating a profile or contacting a business does not guarantee that you will receive a response, interview, agreement, territory, commission, income, or other result.

6. Prohibited Opportunities and Conduct

You may not use the Services to post, advertise, solicit, recruit for, promote, facilitate, or participate in:

  • pyramid schemes, Ponzi schemes, gifting clubs, chain-referral schemes, or other unlawful compensation structures;

  • multi-level marketing (MLM), network-marketing, matrix, binary, unilevel, downline-recruitment, or substantially similar opportunities;

  • opportunities in which compensation depends primarily on recruiting participants rather than bona fide sales of products or services to end customers;

  • inventory loading, concealed mandatory purchases, pay-to-apply arrangements, or misleading "business ownership" or passive-income offers;

  • unregistered securities, investment schemes, illegal franchises, unlawful business opportunities, or requests to transfer money or cryptocurrency under false or misleading circumstances;

  • guaranteed or unsubstantiated earnings, income, lifestyle, product, health, or investment claims;

  • illegal goods, services, discrimination, harassment, exploitation, trafficking, or other unlawful conduct; or

  • opportunities that require conduct violating employment, independent-contractor, commission, licensing, privacy, advertising, telemarketing, or consumer-protection laws.

Legitimate wholesale, manufacturer-representative, dealership, or distribution opportunities may be permitted when they are lawful, compensation is based primarily on bona fide product or service sales, and all material costs and conditions are clearly disclosed. FIND DRAGONFLY may determine, in its reasonable discretion, whether a listing violates this Section.
You also may not:

  • scrape, harvest, copy, download, or compile profiles, listings, contact details, or Website data through automated or systematic means without written permission;

  • send spam, bulk solicitations, unauthorized advertising, or unlawful calls, emails, or text messages;

  • use contact information obtained through the Services for unrelated marketing or resale;

  • upload malware or interfere with the security, integrity, availability, or operation of the Services;

  • bypass access controls, rate limits, payment requirements, or account restrictions;

  • reverse engineer the Services except where applicable law expressly permits it;

  • infringe intellectual-property, privacy, publicity, confidentiality, or other rights;

  • post another person's sensitive or confidential information without lawful authority;

  • manipulate views, applications, reviews, rankings, or engagement;

  • submit false complaints, reports, or payment disputes; or

  • assist another person in violating these Terms.

7. Applications, Messages, and User Communications

The Services may allow users to communicate or exchange contact details, resumes, applications, attachments, and other information. You are responsible for the information you send and for determining whether a recipient is legitimate.
Communications must be professional, relevant to the listed opportunity, and lawful. Do not send highly sensitive information, payments, banking credentials, Social Security numbers, government identification, or confidential business information unless you have independently verified the recipient and are using an appropriate secure process.
We may use automated tools and human review to detect spam, fraud, abuse, malware, or policy violations, subject to our Privacy Policy and applicable law. We do not guarantee that messages will be delivered, read, answered, or retained.

8. Due Diligence, Safety, and User Disputes

You are responsible for independently investigating users and opportunities before entering into an agreement, sharing sensitive information, purchasing inventory, traveling, meeting in person, performing work, or transferring money.
FIND DRAGONFLY does not guarantee and may not verify:

  • identity, business ownership, financial condition, licensing, insurance, background, criminal history, references, authority, or qualifications;

  • the accuracy or legality of any listing, profile, message, compensation plan, product, service, or claim;

  • that a user will perform, pay commissions, deliver products, provide territory, protect confidential information, or comply with law; or

  • that an opportunity will be suitable, profitable, available, exclusive, or successful.

Use reasonable caution when communicating online or meeting in person. Report suspected fraud, illegal activity, harassment, or unsafe conduct to ask@findragonfly.com and, when appropriate, to law-enforcement or regulatory authorities.
Disputes concerning employment, services, commissions, chargebacks, product purchases, territories, dealership arrangements, confidentiality, or other user-to-user matters must be resolved between the affected users. We may assist with communications or records at our discretion but have no obligation to mediate, arbitrate, collect, or pay amounts owed between users.

9. Fees, Stripe Payments, Renewals, Cancellations, and Refunds

IMPORTANT PAID SERVICES NOTICE: Fees paid to FIND DRAGONFLY purchase a defined period of listing, placement, advertising, or access. They do not guarantee views, contacts, applicants, interviews, sales representatives, dealers, leads, contracts, commissions, sales, or other results. Fixed-term purchases do not renew automatically unless automatic renewal is clearly disclosed and separately authorized at checkout. Once a paid service has been published, activated, or made available, it is generally non-refundable except as stated below or required by law.

A. Prices, Currency, and Service Period

Prices, listing periods, advertising periods, features, taxes, and payment terms are displayed at checkout. Unless expressly stated otherwise, charges are in U.S. dollars.

The checkout page, order confirmation, or written order will identify the purchased service and its duration. Unless a different start date is shown, a listing or advertising period begins when the paid service is first published, activated, scheduled to begin, or otherwise made available to the purchaser and continues for the stated number of consecutive calendar days.

Fees paid to FIND DRAGONFLY cover only the selected publication, placement, advertising, account, or access service. They do not include compensation or payments owed between users.

B. Stripe Payment Processing

Payments are processed by Stripe or its affiliated payment-processing providers. NOORION GLOBAL INC, not Stripe, is the seller and service provider responsible for FIND DRAGONFLY listings, advertising, customer support, cancellations, and refunds. Stripe provides payment-processing services and does not determine whether you are entitled to a refund from FIND DRAGONFLY.

By submitting payment information, you authorize NOORION and Stripe to charge the payment method you provide for the selected service, applicable taxes, and any recurring charges that you have separately authorized. Stripe may process payment information under its own terms and privacy practices. We generally do not receive or store complete payment-card numbers.

The charge on your card or bank statement may identify FIND DRAGONFLY, NOORION GLOBAL INC, or a reasonably abbreviated version of either name, as also shown on your payment confirmation or receipt. Please retain your receipt to help identify the transaction.

If you believe a payment was unauthorized, duplicated, or charged in an incorrect amount, notify us promptly at ask@findragonfly.com and contact your card issuer when appropriate. Do not send a complete card number, security code, or banking password by email.

C. Fixed-Term and One-Time Purchases

A fixed-term or one-time listing, placement, advertisement, or other paid service expires at the end of the purchased period. It does not automatically renew unless the checkout page clearly states that it will renew and you separately provide affirmative consent to recurring charges.

Removing, pausing, replacing, or choosing not to use a fixed-term service before the end of its purchased period does not extend the service period or create a right to a refund unless the checkout terms expressly state otherwise or applicable law requires it.

D. Optional Automatic Renewal

Some Services may be offered with optional automatic renewal. Before you authorize an automatically renewing purchase, we will clearly display the recurring price, billing frequency, renewal term, cancellation method, and any minimum commitment.

If you affirmatively select and consent to automatic renewal, you authorize NOORION and Stripe to charge the applicable recurring fee and taxes to your payment method at each renewal until you cancel. If a recurring payment fails, we or Stripe may retry the payment as permitted by applicable law and payment-network rules, and we may suspend the related service while payment remains unpaid.

You may cancel future renewals through an available online account setting or by emailing ask@findragonfly.com with the subject line "Cancel Renewal." Cancellation stops future renewal charges and generally takes effect at the end of the current paid period. Unless required by law or expressly stated otherwise, cancellation does not create a refund for the current or any previously billed period. To avoid the next charge, submit cancellation before the next renewal date.

If an online purchase includes automatic renewal, we will provide an online cancellation method as required by applicable law. We may send payment confirmations, renewal reminders, or advance notices of material price or term changes. Any price change applies prospectively and will be communicated as required by law.

E. Free and Promotional Periods

A free or promotional offer is governed by the terms displayed with that offer. We will not convert a free or promotional period into a paid automatically renewing service unless the conversion terms, recurring price, billing frequency, and cancellation method are clearly disclosed and you provide any affirmative consent required by law.

Promotional eligibility may be limited and may not be combined with other offers. Unless the offer expressly states otherwise, unused promotional value has no cash value and is not refundable.

F. Cancellation of Paid Services

You may request cancellation of a paid service by emailing ask@findragonfly.com with the subject line "Cancellation Request." Include the account email address, order or receipt number if available, the service involved, and the reason for the request.

If we receive a cancellation request before a listing, advertisement, placement, or other paid service has been published, activated, scheduled, or materially prepared, we may cancel the order and issue a full refund. Once the service has been published, activated, scheduled, materially prepared, or made available, cancellation may remove or stop the service but generally does not create a right to a refund.

G. Refund Eligibility

Subject to applicable law, a full or appropriate partial refund may be issued when:

  • we confirm that the same FIND DRAGONFLY purchase was charged more than once by mistake;

  • we confirm that an incorrect amount was charged;

  • payment was successfully collected but the purchased service was not provided because of our material technical or administrative error;

  • we reject or cancel a paid service for our own business reasons, without a violation by the purchaser, before materially providing the service;

  • we discontinue a paid service without cause before the end of the purchased period, in which case we may provide a reasonable prorated refund or service credit; or

  • a refund is otherwise required by applicable law.

Except as required by law or expressly stated at checkout, refunds will not be provided because:

  • a listing, profile, advertisement, or placement received fewer views, contacts, applications, candidates, interviews, leads, sales, or other results than expected;

  • a purchaser changes its mind after the service has been published or activated;

  • a purchaser supplied incorrect information, selected the wrong service, or failed to use an available service;

  • a purchaser requests early removal, pauses activity, hires a candidate, fills a territory, or no longer needs the service before the purchased period ends;

  • an account or content is suspended, rejected, or removed because of fraud, inaccurate or misleading information, a payment reversal, or a violation of these Terms; or

  • the request concerns a current or prior automatically renewed period that was charged after valid authorization and before timely cancellation.

Nothing in this Section limits any refund, cancellation, or other right that cannot lawfully be waived.

H. Requesting and Receiving a Refund

To request a refund, email ask@findragonfly.com with the subject line "Refund Request." Include your name or business name, account email address, order or receipt number if available, transaction date, amount, and reason for the request. Do not email complete payment-card or bank-account information.

Approved refunds are issued through Stripe only to the original payment method. We do not send a refund to a different card, bank account, person, or destination. After we initiate a card refund, it generally appears on the customer's account within approximately 5–10 business days, depending on the card issuer or bank. A reversal may instead cause the original charge to disappear. Financial institutions may require additional time, and failed refunds may take longer to resolve.

We may request reasonable information needed to locate the transaction, verify the requester, prevent fraud, or determine whether the request qualifies under this policy.

I. Chargebacks and Payment Disputes

If you have a billing, cancellation, or refund concern, please contact us before initiating a chargeback so we have a reasonable opportunity to investigate and resolve the issue. This request does not limit any non-waivable right to contact your bank or card issuer.

When a payment dispute or chargeback is filed, Stripe and the applicable card network or financial institution control the dispute process. We may provide relevant evidence, including the checkout disclosures, proof of acceptance of these Terms, order confirmation, receipt, publication or access records, communications, cancellation history, and this refund policy.

We may suspend the related paid service or account while a payment dispute is pending. Knowingly filing a false, duplicate, or abusive payment dispute is a violation of these Terms. A chargeback does not eliminate amounts lawfully owed if the dispute is resolved in our favor, and a customer may not obtain both a refund and a duplicate recovery for the same charge.

J. Taxes and Unpaid Amounts

You are responsible for applicable sales, use, excise, value-added, and similar transaction taxes, duties, and government charges, except taxes based on our net income. If a payment fails, is reversed, or remains unpaid, we may suspend or terminate the related paid service and seek payment of amounts lawfully owed.

10. Featured Listings and Advertising

Featured status, highlighted placement, sponsored placement, banner advertising, or other paid visibility does not constitute an endorsement or verification by FIND DRAGONFLY.
Advertisers are responsible for their advertisements, landing pages, offers, claims, permissions, and legal compliance. We may reject or remove advertising that conflicts with our standards or these Terms. Unless expressly guaranteed in a written order, we do not guarantee a specific position, number of impressions, clicks, inquiries, conversions, or results.

11. User Content and License

"User Content" includes profiles, listings, opportunity descriptions, logos, photographs, resumes, applications, messages, reviews, files, advertisements, feedback, and other material submitted through the Services.
You retain ownership of your User Content. You grant NOORION a non-exclusive, worldwide, royalty-free, transferable and sublicensable license to host, store, reproduce, format, adapt, translate, publish, display, distribute, transmit, and otherwise use User Content as reasonably necessary to operate, secure, improve, and provide the Services.
For User Content that you designate as public, you also grant us permission to promote and distribute that content, including through search engines, email, social media, and FIND DRAGONFLY marketing channels, for the purpose of promoting the relevant listing, profile, opportunity, advertisement, or Services. We will not use the content of private user-to-user messages in public marketing without permission.
You represent and warrant that:

  • you own User Content or have all necessary rights and permissions;

  • User Content is accurate and lawful;

  • our authorized use of User Content will not violate any agreement or third-party right; and

  • User Content does not contain malware or unlawfully collected personal information.

We may remove or restrict User Content but are not obligated to monitor all content. Removal does not waive any other right or remedy.
If you submit suggestions or feedback about the Services, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use that feedback without restriction or compensation, provided we do not publicly identify you as the source without permission.

12. FIND DRAGONFLY Intellectual Property

The Services, including the FIND DRAGONFLY name, dragonfly character and branding, logos, designs, software, databases, page layouts, text, graphics, and other content created by or for NOORION, are owned by NOORION or its licensors and are protected by intellectual-property laws.
Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for their intended business purposes. No other rights are granted. You may not copy, modify, distribute, sell, license, frame, mirror, create derivative works from, or commercially exploit our intellectual property without written permission.

13. Copyright Complaints and Repeat Infringers

We respect intellectual-property rights and may remove or disable access to material that we reasonably believe infringes copyright. We may terminate users who repeatedly infringe intellectual-property rights in appropriate circumstances.
A copyright owner or authorized agent may send a written notice to the contact below containing:

  1. a physical or electronic signature of the copyright owner or authorized agent;

  2. identification of the copyrighted work claimed to be infringed;

  3. identification and location of the allegedly infringing material;

  4. the complaining party's name, address, telephone number, and email address;

  5. a statement of good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and

  6. a statement, under penalty of perjury, that the notice is accurate and the sender is authorized to act for the copyright owner.

If your content was removed by mistake or misidentification, you may send a legally valid counter-notice to the same contact. Knowingly submitting a false infringement notice or counter-notice may result in legal liability.

14. Privacy

Our collection and use of personal information are described in the FIND DRAGONFLY Privacy Policy. By using the Services, you acknowledge that policy. Public profiles and listings may be visible to other users, visitors, and search engines, as explained in the Privacy Policy.

15. Third-Party Services and Links

The Services may use or link to third-party websites, payment processors, authentication providers, communication services, social-media platforms, or other services. Third parties operate under their own terms and privacy policies. We do not control and are not responsible for third-party services, content, security, availability, products, or transactions.

16. Suspension and Termination

You may stop using the Services at any time and may request account closure, subject to outstanding payment, legal, security, and record-retention obligations.
We may warn, restrict, suspend, remove content from, or terminate an account or service if we reasonably believe that:

  • you violated these Terms or applicable law;

  • your information, listing, payment, or conduct is fraudulent, deceptive, unsafe, or materially inaccurate;

  • your activity creates security, legal, reputational, or operational risk;

  • payment is overdue, reversed, or disputed without a valid basis; or

  • suspension or termination is reasonably necessary to protect users, NOORION, or third parties.

We may act without advance notice in urgent or serious circumstances. Where reasonable, we may allow you to correct a non-serious violation. Sections that by their nature should survive termination—including payment obligations, licenses already granted, intellectual property, disclaimers, limitations of liability, release, indemnification, dispute terms, and general provisions—will survive.

17. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY. NOORION DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS; THAT CONTENT OR USER INFORMATION WILL BE ACCURATE; OR THAT ANY LISTING, PROFILE, APPLICATION, MESSAGE, USER, BUSINESS, PRODUCT, SERVICE, COMPENSATION PLAN, OR OPPORTUNITY WILL BE LEGITIMATE, LAWFUL, AVAILABLE, SUITABLE, PROFITABLE, OR SUCCESSFUL.
FIND DRAGONFLY DOES NOT GUARANTEE EMPLOYMENT, CONTRACTS, DEALERSHIPS, TERRITORIES, LEADS, APPLICATIONS, INTERVIEWS, SALES, COMMISSIONS, INCOME, RESPONSE RATES, OR BUSINESS RESULTS. YOU USE THE SERVICES AND INTERACT WITH OTHER USERS AT YOUR OWN RISK.
Some jurisdictions do not allow certain warranty exclusions, so some exclusions may not apply to you.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOORION AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS, REVENUE, SALES, COMMISSIONS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES; BUSINESS INTERRUPTION; PERSONAL OR PROPERTY LOSS ARISING FROM USER INTERACTIONS; OR THE COST OF SUBSTITUTE SERVICES, EVEN IF ADVISED THAT SUCH DAMAGES ARE POSSIBLE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF NOORION AND THE OTHER RELEASED PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

  1. THE AMOUNT YOU PAID DIRECTLY TO FIND DRAGONFLY FOR THE SERVICE GIVING RISE TO THE CLAIM DURING THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY; OR

  2. ONE HUNDRED U.S. DOLLARS (US $100).

These limitations apply regardless of the legal theory and even if a remedy fails of its essential purpose. They do not limit liability that cannot lawfully be excluded or limited, including liability for fraud, willful misconduct, or other liability that applicable law makes non-waivable.

19. Release of User-to-User Claims

To the maximum extent permitted by law, you release NOORION and its officers, directors, employees, contractors, affiliates, and service providers from claims, demands, losses, damages, and disputes arising out of or relating to interactions, agreements, communications, payments, products, services, conduct, or transactions between you and another user or third party.
If you are a California resident, you acknowledge and waive California Civil Code Section 1542 to the extent legally permitted. Section 1542 provides:

 

A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.

This release does not apply to claims arising directly from NOORION's own fraud, willful misconduct, or other conduct that cannot legally be released.

20. Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless NOORION and its officers, directors, employees, contractors, affiliates, licensors, and service providers from claims, liabilities, losses, judgments, damages, penalties, costs, and reasonable attorneys' fees arising out of or related to:

  • your User Content, listings, advertisements, products, services, or communications;

  • your agreement, transaction, or dispute with another user;

  • your violation of these Terms or applicable law;

  • your infringement or violation of another person's rights; or

  • your fraud, negligence, willful misconduct, or misuse of the Services.

We may control the defense and settlement of an indemnified matter, and you agree to reasonably cooperate. We will not settle a claim in a manner that admits your personal wrongdoing or imposes a non-monetary obligation on you without your consent, which will not be unreasonably withheld.

21. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or relating to the Services are governed by the laws of the State of California, without regard to conflict-of-law principles, except where applicable law requires otherwise.
Before filing a lawsuit, the complaining party must send written notice describing the dispute and requested resolution to the other party. Notices to NOORION must be sent to ask@findragonfly.com with the subject line "Legal Dispute Notice" and by mail to the address in Section 24. The parties will attempt in good faith to resolve the dispute informally for at least 30 days after receipt of the notice. This requirement does not prevent either party from seeking urgent injunctive relief or filing a claim before a legal deadline expires.
Subject to any non-waivable rights under applicable law, the state and federal courts located in Orange County, California will have exclusive jurisdiction over disputes arising out of or relating to the Services or these Terms, and you consent to personal jurisdiction and venue in those courts. An eligible claim may also be brought in small-claims court.

22. Changes to the Services or These Terms

We may modify the Services and may update these Terms from time to time. Updated Terms will be posted with a revised "Last Updated" date. If a change is material, we may provide additional notice through the Website, your account, or the contact information associated with your account.
Changes apply prospectively from their stated effective date. Your continued use of the Services after updated Terms take effect constitutes acceptance, except where applicable law requires additional consent. Changes to recurring fees or automatic-renewal terms will be communicated and implemented as required by law.

23. Electronic Communications

You agree that we may provide agreements, disclosures, receipts, confirmations, policy updates, and other notices electronically through the Website or by email to the address associated with your account. Electronic communications satisfy any legal requirement that communications be in writing to the extent permitted by law.
You are responsible for maintaining a valid email address and reviewing notices. Marketing emails and text messages are subject to the choices described in our Privacy Policy.

24. General Provisions and Contact Information

These Terms, the Privacy Policy, any purchase terms shown at checkout, and any additional written terms applicable to a specific feature constitute the entire agreement between you and NOORION regarding the Services. If purchase-specific terms conflict with these Terms, the purchase-specific terms control only for that purchase.
If any provision is found unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will remain effective. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent. We may assign them in connection with a merger, reorganization, sale of assets, or by operation of law. There are no third-party beneficiaries except as expressly stated. Headings are for convenience only.
We are not liable for delay or failure caused by events beyond our reasonable control, including natural disasters, internet or utility failures, cyberattacks, labor disputes, governmental actions, war, terrorism, epidemics, or failures of third-party providers.
